1. Acceptance of Terms
By accessing or using Pixelgate's website, platform, and video production services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Pixelgate ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the revised Terms.
2. Description of Services
Pixelgate is a video production platform that provides on-demand UGC (user-generated content) ads, social media video content, promotional videos, and related creative services for brands, agencies, and businesses. Our Services include but are not limited to:
- UGC-style video ad production
- Social media video content creation
- Video editing and post-production
- Script writing and creative direction
- Talent sourcing and management
- Platform-specific video optimization
- Subscription-based content plans
3. User Accounts
To access certain features of the Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account.
- You are responsible for safeguarding your password and agree not to share your account credentials with any third party.
- You must notify us immediately of any unauthorized use of your account or any other breach of security.
- We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.
4. Orders & Payment
All orders placed through the Pixelgate platform are subject to acceptance by us. We reserve the right to refuse or cancel any order at our discretion. Pricing for our Services is displayed on the platform and may be subject to change without prior notice.
- Payment is required at the time of order placement unless otherwise agreed upon in a custom enterprise agreement.
- We accept major credit cards, debit cards, and other payment methods as displayed on the platform.
- All fees are quoted in USD unless otherwise specified. You are responsible for any applicable taxes, duties, or other governmental charges.
- Subscription plans are billed on a recurring basis according to the billing cycle selected. You may cancel your subscription at any time, but no pro-rata refunds will be issued for the remaining billing period.
- Late payments may incur additional fees and may result in suspension of Services until the outstanding balance is settled.
5. Intellectual Property
All content, trademarks, logos, designs, software, and other materials available through the Pixelgate platform are owned by or licensed to Pixelgate and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any of our proprietary materials without our prior written consent.
The Pixelgate platform, including its source code, design elements, algorithms, and documentation, remains the exclusive property of Pixelgate. Nothing in these Terms grants you any right or license to use our intellectual property beyond what is necessary to use the Services as intended.
6. Content Rights & Deliverables
Upon full payment for a completed order, you are granted a non-exclusive, worldwide, perpetual license to use the delivered video content for the purposes agreed upon at the time of the order. This license includes the right to use, reproduce, distribute, and display the content across your marketing channels.
- Pixelgate retains the right to use delivered content in our portfolio, case studies, and promotional materials unless you request otherwise in writing prior to production.
- You represent and warrant that any materials, brand assets, scripts, or direction you provide to us do not infringe upon the intellectual property rights of any third party.
- Talent usage rights are included for the duration specified in your order. Extended usage beyond the agreed period may require additional licensing fees.
- Raw footage and project files remain the property of Pixelgate unless explicitly included in your order.
7. Limitations of Liability
To the maximum extent permitted by applicable law, Pixelgate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to Pixelgate during the twelve (12) months immediately preceding the event giving rise to the claim. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Termination
Either party may terminate the relationship at any time by providing written notice. Upon termination, your right to access and use the Services will cease immediately, subject to the following:
- Any orders that are already in production at the time of termination will be completed and delivered, and payment for such orders remains due.
- We may terminate or suspend your access to the Services immediately, without prior notice, if you breach any provision of these Terms.
- Upon termination, provisions that by their nature should survive will remain in effect, including intellectual property rights, limitations of liability, and dispute resolution.
- Any unused credits or prepaid balances may be forfeited upon termination unless otherwise specified in your service agreement.
9. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration.
Arbitration shall be conducted in accordance with the rules of the applicable arbitration body in the jurisdiction where Pixelgate is headquartered. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Each party shall bear its own costs associated with the arbitration, unless the arbitrator determines otherwise.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
10. Changes to Terms
Pixelgate reserves the right to modify or replace these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. We may also send an email notification to the address associated with your account for significant changes.
Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates. If you do not agree with the revised Terms, you must discontinue your use of the Services.
